Business and Real Estate Transactions
We regularly represent sellers and buyers of commercial enterprises
including industrial real estate, and the related due diligence associated
with such transactions. In many cases, our environmental lawyers work
closely with transaction counsel from other firms in evaluating the
transaction to develop a framework for identifying and assessing potential
environmental liabilities. This usually includes negotiating the
environmental provisions of the contractual arrangements to fit within the
overall transaction, overseeing the due diligence, and where necessary
working with technical consultants to develop the framework of any
environmental investigation and remediation which may be necessary to
complete the deal.
Superfund Sites; Brownfields and Site
Restoration
Our lawyers have represented clients in litigation, regardless of the forum,
in connection with environmental claims by government agencies and private
parties. We have represented buyers, sellers, lenders, borrowers,
owners, operators, lessors and lessees in claims
including alleged fraud and misrepresentation, breach of warranty and
contract violation of various environmental law or
breach of common law duties. We have assisted clients in successfully
navigating the often uncharted waters created by the plethora of
environmental regulations applied to actions which occurred in the distant
past, and have met the challenges posed by the Superfund Act, the tank act
and solid and hazardous waste laws and regulations.
Regulatory Compliance and Permitting
We focus on our clients industry-specific needs
caused by the constantly changing environmental regulations and governmental
policies. We inform clients of possible impacts and assist them in
developing cost-effective strategies and compliance plans.
We also publish the Pennsylvania Environmental Law Handbook, which provides
an up-to-date resource allowing businesses to identify what environmental
laws and regulation may effect
them.
